NOW THEREFORE THIS AGREEMENT WITNESSETH that for and in consideration of the mutual covenants and agreements herein contained, the parties hereby agree as follows:
  1. Subject to the terms and conditions hereof, the Publisher agrees to reserve as exclusive to the Customer the named town, region or Zip Code for the period of this agreement provided that the customer does not miss more than 2 month’s consecutive issues.
  2. The Customer agrees to pay the price of the newspapers expressed on the Rate Card and the Publisher agrees not to increase the agreed price for the period of this agreement with the exception of newsprint increases.
  3. The Publisher agrees to maintain the high quality of the newspaper both in editorial content and production quality and the Customer understands and agrees that this quality is to a large extent dependent on the quality of the material submitted by the Customer.
  4. The Publisher agrees to print and deliver the newspaper to the Customer in a timely fashion.
  5. The Publisher agrees to provide editorial content that is topical, seasonal and current. The Customer agrees that selection of editorial content is at the sole discretion of the Publisher.
  6. The Publisher agrees to accept for consideration, such editorial material as may be provided from time to time by the Customer or from his advertisers. This editorial material may be published with credit to the source provided that it is supplied on disk or E-mail in the proper format and is acceptable to the Publisher.
  7. The Publisher shall manage, at the Customer’s discretion the complete distribution of the newspaper. Customer will provide to the Publisher, by e-mail, a complete address list.
  8. The Customer agrees to deliver, by E-mail or courier, to the offices of HOMES NEWSPAPER, photographs and copy together with explicit and detailed instructions regarding layout preferences by the copy deadline dates as outlined in the Publishing Schedule.
  9. The Customer agrees to pay for his first edition of the HOMES NEWSPAPER at the time of Proof Approval. Such payment assures allocation in the printing sequence. Payment shall include all costs including shipping.
  10. Time shall be strictly of the essence of this agreement which shall enure to the benefit of and be binding upon the parties hereto and their respective heirs, successors and permitted assigns.
  11. At no point will refunds be made.
